1. Introduction

Welcome to ApniFactory. These Terms & Conditions govern your use of the marketplace platform ("Platform") operated by H Bose E Commerce Pvt Ltd. Our platform is a technology-driven service that facilitates transactions between registered sellers and buyers.

By accessing, browsing, or using this Platform, you acknowledge that you have read, understood, and agree to be bound by these terms. **ApniFactory does not sell products directly and acts solely as an intermediary** and technology provider.

2. Eligibility & User Accounts

Use of the Platform is available only to persons who are at least **18 years old** and can form legally binding contracts. By using the Platform, you represent that you meet this requirement.

• Buyers & Sellers: Must provide accurate, current, and complete information during the registration process.
• Seller GST: Sellers must have a valid GST (Goods and Services Tax) registration to list products. Sellers without a valid GSTIN will not be onboarded.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Seller Verification & Code of Conduct

We strive to maintain a trusted marketplace. All sellers are subject to a verification process.

• Verification: Sellers are required to submit their GSTIN, PAN, and bank details for verification.
• Product Listings: Sellers must provide accurate and non-misleading product descriptions, high-quality images, and clear pricing.
• Prohibited Items: Listing counterfeit, prohibited, or illegal products is strictly forbidden.
• Responsibility: Sellers are solely responsible for product authenticity, quality, fulfillment, delivery, and overall legal compliance.
• Enforcement: Any violation of this code of conduct may result in immediate blacklisting, suspension, or permanent removal from the Platform.

4. Intellectual Property Rights (IPR)

Sellers explicitly guarantee that their products and listings do not infringe upon any third-party intellectual property rights, including copyrights, trademarks, or patents. ApniFactory respects the IPR of others and reserves the right to remove listings and suspend sellers found to be in violation.

5. Ordering and Acceptance

Buyers place orders through the Platform, and these orders are then forwarded to the respective sellers. Sellers may accept or decline these orders at their discretion (e.g., based on stock availability). Sellers are responsible for the complete fulfillment process, including dispatch and delivery, either via their own transport or third-party logistics partners.

6. Risk and Liability

As an intermediary, ApniFactory is not liable for any loss, damage, or defect related to the products.

• Seller Responsibility: All matters of product quality, authenticity, and damages during transit are the direct responsibility of the seller and buyer.
• Buyer Responsibility: Buyers assume all risks associated with product handling, transit damages, and usage.

7. Commission and Taxes

ApniFactory facilitates payments by collecting the total order amount from the buyer. This amount is processed as follows:

• Deductions: ApniFactory deducts its platform commission and any applicable GST on that commission.
• Payout: The remaining payment is transferred to the seller's verified bank account.
• Tax Responsibility: Sellers are solely responsible for calculating and paying all GST and other taxes on their portion of the sales. ApniFactory is only responsible for paying taxes on its own commission/marketing income.

8. Dispute Resolution and Grievance Handling

ApniFactory will act as a mediator to help resolve disputes between buyers and sellers. Buyers can contact customer support to initiate a dispute.

• Jurisdiction: All parties consent to the exclusive jurisdiction of Indore, Madhya Pradesh, India. Disputes that cannot be resolved through mediation may proceed to arbitration or legal proceedings in Indore courts only.

9. Force Majeure

ApniFactory is not liable for any delays, failures, or disruptions in service caused by events beyond its reasonable control. Such events include, but are not limited to, natural disasters, acts of war, government actions, pandemics, or cyberattacks.

10. Fraud Prevention

To maintain platform integrity, ApniFactory actively monitors for fraudulent activity. Sellers engaging in activities such as creating duplicate accounts, listing fraudulent products, or initiating repeated chargebacks may be temporarily suspended or permanently blacklisted.

11. Amendments

ApniFactory reserves the right to modify these Terms & Conditions at any time. We will post the revised terms on the Platform, and the changes will be effective immediately upon posting. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms & Conditions.
